End-User Licence Agreement
Groworx Finance
This agreement governs use of Groworx Finance ("the Application"), supplied by Groworx (Pty) Ltd, registration number 2018/302674/07, of 52 Richmond Avenue, Auckland Park, Johannesburg, 2092, South Africa ("Groworx").
By accessing or using the Application you agree to these terms. If you do not agree, do not use it.
1. Internal use only
The Application is internal software. It is not sold, licensed, distributed or made available to the public. It connects only to Groworx's own QuickBooks Online company and processes only Groworx's own accounting records.
2. Licence
Groworx grants authorised users a non-exclusive, non-transferable, revocable licence to use the Application for Groworx's internal business purposes only, for as long as their authorisation subsists.
3. Who may use it
Use is limited to:
- Employees and officers of Groworx who have been granted access
- Groworx's appointed external accountant or bookkeeper, acting for Groworx
Authorisation may be withdrawn at any time and ends automatically when a person ceases to hold the role for which it was granted.
4. Restrictions
You may not:
- Use the Application other than for Groworx's internal business purposes
- Share credentials, or allow access by any person who is not authorised
- Extract, copy or disclose data obtained through the Application other than as your role requires
- Attempt to circumvent the read-only controls, the access controls, or the audit logging
- Copy, modify, decompile, reverse-engineer or create derivative works of the Application
- Use the Application to process any organisation's data other than Groworx's own
5. Read-only operation
The Application reads accounting data. It does not create, modify, void or delete records in QuickBooks Online. Any correction identified by the Application must be reviewed and applied by a person. Nothing in the Application should be relied on as having changed an accounting record.
6. Accuracy and reliance
The Application computes figures from accounting records. Those figures depend on the accuracy and completeness of the underlying records and on the period, basis and definitions applied. Figures produced by the Application:
- are for internal management use;
- are not audited and do not constitute financial statements;
- do not constitute accounting, tax, legal or investment advice; and
- must be verified against the accounting records before being relied on externally.
7. Third-party services
The Application relies on QuickBooks Online, supplied by Intuit Inc., and on services supplied by Amazon Web Services, Anthropic PBC and, where scheduled delivery is enabled, Meta Platforms. Use of those services is governed by their own terms. Groworx is not responsible for their availability or performance. QuickBooks and QuickBooks Online are trademarks of Intuit Inc.; Groworx is not affiliated with, endorsed by, or sponsored by Intuit Inc.
8. Data
Personal information processed through the Application is handled in accordance with the Privacy Policy, which forms part of this agreement.
9. Intellectual property
The Application, and all rights in it, remain the property of Groworx. No rights are transferred by this agreement other than the limited licence in clause 2.
10. No warranty
The Application is provided "as is" and "as available". To the fullest extent permitted by law, Groworx gives no warranties of any kind, whether express or implied, including as to merchantability, fitness for a particular purpose, accuracy, or uninterrupted operation.
11. Limitation of liability
To the fullest extent permitted by law, Groworx will not be liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, data or business, arising out of or in connection with use of the Application. Nothing in this clause limits liability that cannot be limited under South African law.
12. Suspension and termination
Groworx may suspend or terminate access at any time, with or without notice. On termination, the licence in clause 2 ends immediately and you must stop using the Application.
13. Governing law
This agreement is governed by the laws of the Republic of South Africa, and the parties submit to the jurisdiction of the South African courts.
14. Changes
Groworx may amend this agreement. The version number and effective date above will change when it does. Continued use after an amendment constitutes acceptance.
